I do not, i just use a cable to my tv so i don't have to mess with converting video files since iTunes does not play certain popular file extensions.
Weight out the pro's and con's is what id say.

I'd recommend against them. My brother owned one for a while and was dissatisfied. It would (and still will, they haven't fixed the issue afaik) crash when trying to load file lists that were too large. There were other things he didn't like about it but I don't remember. He ended up buying a small Lenovo PC that runs all his media, etc. Has a controller for it and is much much happier.
Well I download most of what I watch here in Germany so I was hoping that I could download it on my iPad and then watch the show from the app on the TV.

I have owned both a 2007 and 2011 Apple TV. The first generation, for the cost it originally was, was not worth it. Back then, I would have said it was a bad investment.
I ended up using a spare Mac Mini for awhile, but found it to be more cumbersome than it was worth. Sure, it could play Hulu and whatnot, but soon AirPlay just became more convenient. It's becoming even more useful with every software update Apple releases (ie: AirPlay mirroring in iOS devices, and finally AirPlay mirroring coming in Mountain Lion). In the meantime, on your laptops/desktops, you can use AirParrot or something similar.
If you currently own a lot of Apple products, it makes sense to get an AppleTV -- especially for $99. The ecosystem, etc all works well together. Just for the haters, I'd almost say the same thing for a GoogleTV-based device if you were an Android guy (I also own a Logitech Revue and am interested in checking out the Nexus Q).
Do anyone have a Gen 2 laying around they want to sell

I use my pc running XBMC and my Android to control it. Pretty cool when I am watching a video on my phone and I can just send it right to XBMC but TBH I just play my video right from the mouse/keyboard and then run to the couch 90% of the time.
